you would probably need to consult someone in your area first to determine what is allowable by law in your state or at least find out some things that would be a major no no in your state.

things do vary from state to state but when it comes to a business to business agreement there is some wiggle room because the deal is between two parties but as you said, you have to run a business and you have to cover your tail and one of the best ways to do that is having everything you do in writing.

everyone i hire, work for and subs have to sign agreements and in this day and age unfortunately you can not do business no other way and i could care less if you were my best friend you will sign a agreement or no deal.

as far as wording goes, you don't need to reinvent the wheel but you need to spell out every aspect of what is expected of them as well as make it very clear what the consequences would be if they were to leave you hanging.

using subs is not like hiring a employee and the snow and ice control end of the business is not like landscaping especially if you are dealing with commercial accounts.
you have a responsibility to your customers and it needs to be made very clear what is involved and expected out of your subs.

if someone decides something better came along and they don't want to work for you that is fine but they can not let you know that at 2 o'clock in the morning the day of a storm they have to give you proper notice so you can plan around it.
too many people today make half azzed commitments to people and then only leave the person holding their dick in their hand.

contracts also weed out the unreliable people because anyone who is not serious and has a track record of screwing people are gonna run to the hills when it comes time to sign on the dotted line and that is a good thing because it prevents you from having your time wasted.

the same holds true for customers, the ones that like to screw contractors out of money also do not like contracts because it makes them accountable and leaves a legal trail right to them.
